Trainer Agreement

1. Agreement Overview

This Trainer Agreement (the "Agreement") outlines the relationship between ITCS - Institute of Technology and Cyber Security (hereafter referred to as "Institute") and the undersigned trainer (hereafter referred to as "Trainer"). This agreement is binding and governs the terms of employment or freelance work with ITCS.

The Trainer agrees to provide training services for ITCS in the domains of Cybersecurity and Web Development. These services include but are not limited to:

3. Duration of Agreement

This Agreement shall be effective from the date of signature and will remain in effect for a period of one year unless terminated earlier according to the terms of this Agreement. The agreement may be renewed by mutual consent of both parties.

Compensation will be agreed upon before the commencement of the Trainer’s duties and will be detailed in the Trainer’s contract. This includes base pay, performance-based bonuses, and any other benefits agreed upon, including but not limited to:

5. Confidentiality

The Trainer agrees to keep confidential all proprietary information, intellectual property, and sensitive information of ITCS that they come across during their engagement. This includes but is not limited to course materials, student data, and business strategies. The confidentiality clause survives the termination of this Agreement.

6. Intellectual Property

All work created by the Trainer for the Institute, including but not limited to curriculum, training materials, videos, assignments, and other intellectual properties, will be the exclusive property of ITCS. The Trainer agrees not to use or distribute these materials outside the scope of this Agreement without the prior written consent of ITCS.

7. Termination

Either party may terminate this Agreement with a written notice of 30 days. Grounds for termination include but are not limited to:

If the Trainer is terminated for any breach of the agreement, they will not be entitled to any severance pay, benefits, or compensation beyond the work completed up until the date of termination.

8. Dispute Resolution

In the event of a dispute arising from this Agreement, both parties agree to first attempt informal negotiations. If this fails, the dispute will be resolved through binding arbitration, in accordance with the laws of the jurisdiction where ITCS is based.

9. Governing Law
