This Reseller Agreement (the "Agreement") is made between:

ITCS - Institute of Technology and Cyber Security (the "Company")

and

The Reseller (the "Reseller")

1. Appointment

The Company hereby appoints the Reseller as its authorized reseller to market, sell, and distribute the Company’s products and services, under the terms of this Agreement. The Reseller agrees to act in accordance with this Agreement, ensuring that all sales and promotions align with the Company’s standards and values.

2. Rights and Obligations of the Reseller

• The Reseller shall promote the Company’s products and services with the utmost professionalism and integrity.
• The Reseller agrees to provide accurate information to potential customers about the products, services, and their features.
• The Reseller is responsible for ensuring that all sales comply with applicable laws and regulations.
• The Reseller will maintain an adequate level of stock of the Company’s products to meet demand.
• The Reseller will not engage in any deceptive or unethical advertising practices.

3. Pricing and Payment

The Company will provide the Reseller with a wholesale pricing structure for the products and services sold. The Reseller will set its own retail pricing for these products. Payments for purchases from the Reseller will be due as per the terms agreed upon by both parties. The Reseller will also be responsible for all taxes, shipping, and handling fees.

4. Term and Termination

This Agreement shall be effective from the date of signature and will remain in effect until terminated by either party. The Agreement may be terminated by the Company if the Reseller breaches any terms of this Agreement or engages in unethical conduct. Either party may terminate the Agreement upon written notice with a 30-day notice period.

5. Confidentiality

The Reseller agrees to keep all proprietary and confidential information received from the Company confidential, and will not disclose it to any third party without prior written consent from the Company. This includes, but is not limited to, pricing information, marketing strategies, and customer data.

6. Liability and Indemnification

The Reseller shall indemnify and hold harmless the Company against any claims, damages, liabilities, and costs arising from the Reseller’s actions, including but not limited to product misrepresentation, negligence, or failure to comply with applicable laws.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from this Agreement shall be resolved in the courts located within [Jurisdiction].

8. Miscellaneous

• This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
• Any amendments to this Agreement must be made in writing and signed by both parties.
• Neither party shall be liable for any failure to perform its obligations due to force majeure, including but not limited to acts of God, natural disasters, war, or governmental restrictions.
