ITCS Authorized Training Center (ATC) Agreement

Whereas, ITCS is a renowned institution that offers high-quality training in various technology and cybersecurity fields, and

Whereas, the ATC wishes to become an authorized center for delivering ITCS’s training programs and certifications,

Now, Therefore, the Parties agree as follows:

1. Purpose of Agreement

ITCS hereby grants the ATC the right to deliver ITCS-certified courses in various fields, including but not limited to Cybersecurity, Web Development, and related technologies. The ATC agrees to provide training according to ITCS’s curriculum and standards.

2. Obligations of ITCS

• ITCS will provide the ATC with access to:
  • Official training materials, syllabus, and curriculum.
  • Certification vouchers for students upon successful completion of the program.
  • Marketing support, including access to ITCS branding for promotional purposes.
• ITCS will ensure periodic monitoring and evaluation of the ATC’s infrastructure and teaching methods.

3. Obligations of the ATC

• The ATC agrees to:
  • Adhere to ITCS’s curriculum, maintaining the standards of instruction set by ITCS.
  • Provide a state-of-the-art training environment, including classrooms, labs, and facilities in accordance with ITCS’s requirements.
  • Ensure that instructors are qualified and meet the necessary certification criteria.
  • Maintain proper documentation of student attendance, progress, and exam results.
  • Regularly update the facilities and equipment as per ITCS’s requirements.
  • Pay the applicable application and renewal fees as outlined in the application process.

4. Certification and Exams

• ITCS will provide certification for students who successfully complete the training program.
• The ATC is responsible for ensuring the integrity and authenticity of the exams and certification process.
• The ATC will adhere to the rules and regulations set by ITCS regarding the certification of students.

5. Fees and Payments

• The ATC agrees to pay all applicable fees as stipulated by ITCS, including the application fee, annual renewal fee, and any additional costs related to instructor certification or training materials.
• Payment details and schedules will be mutually agreed upon between ITCS and the ATC.

6. Term and Termination

• This agreement will commence on the effective date and will remain valid for one year, after which it will be subject to renewal.
• Either party may terminate this agreement with written notice if the other party fails to adhere to the terms and conditions outlined herein.
• In the event of termination, the ATC will no longer be authorized to use ITCS branding or offer ITCS-certified courses.

7. Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary information, business strategies, or data exchanged between them.

8. Liability and Indemnity

• The ATC agrees to indemnify ITCS against any claims or damages arising from the actions, omissions, or negligence of the ATC, its staff, or students.
• ITCS will not be held liable for any direct, indirect, incidental, or consequential damages resulting from the ATC's use of ITCS materials, branding, or certifications.

9. Dispute Resolution

Any disputes or disagreements arising from this Agreement shall be resolved through mutual discussion. If unresolved, the matter may be taken to arbitration as per the applicable laws.

10. Miscellaneous

• This Agreement is binding upon the respective successors, assigns, and representatives of both parties.
• Any amendments to this Agreement must be made in writing and signed by both parties.
